Welcome to Happycapy. These Terms of Service ("Terms") govern your access to and use of Happycapy's services, including our website at Happycapy.ai and any related applications (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Agreement to Terms

These Terms constitute a legally binding agreement between you and Happycapy. We may revise these Terms from time to time. We will provide notice of material changes through email, in-app messaging, or by posting a notice on our website. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms.

2. The Services

Happycapy provides a consumer application that enables users to interact with AI agents through easy-to-use graphical interface for human.

We provide system that enables AI agents to work seamlessly itself, such as managed sandbox environments and workflow-enhancement features, and each of which may be modified, supplemented, or discontinued at any time.

Subject to your compliance with these Terms, Happycapy grants you a personal, non-transferable, non-exclusive, limited license to access and use the Services for your internal business or personal purposes.

3. Your Happycapy Account

3.1 Account Usage

To access our Services, we may ask you to create an Account. You agree to provide correct, current, and complete information and allow us to use it to communicate with you about our Services.

Account sharing is strictly prohibited. You may not:

• Share your login information (username, password), API keys or sandbox resources with any other person
• Allow others to access your account or subscription
• Use a single account for multiple users, especially across different IP addresses

Any account sharing or abuse may result in suspension or termination of your account.

You are responsible for all activity occurring under your account, and you agree to notify us immediately if you become aware of any unauthorized access to your account by sending an email to support@happycapy.ai.

3.2 Usage of Account Resources

We provide sandbox, AI models access, embedded API keys and various features from time to time for users on the Happycapy platform ("Account Resources").

You may not:

• Attempt to exceed, circumvent, or bypass usage rate limits through any means, including but not limited to using multiple accounts, automation tools, or technical workarounds; rate limits reset weekly on Monday at 00:00 UTC.
• Use automated tools, bots, crawlers, or scripts to access, scrape, or interact with the Happycapy platform or its interfaces
• Bypass, circumvent, or attempt to override rate limits, access controls, or security measures on the platform
• Access Account Resources through third-party applications (including tools like OpenClaw)
• Extract or use Account Resources outside the official Happycapy platform
• Share credentials, including API keys, that can access Account Resources

4. Usage Policy

You agree not to engage in any of the following prohibited activities:

• Abuse or Harassment: Harassing, threatening, or intimidating other users
• Spam: Sending unsolicited messages or using the Service for spam purposes
• Impersonation: Impersonating any person or entity or misrepresenting your affiliation
• Data Mining: Using automated systems to collect data from the Service without permission
• Malware: Uploading viruses, malware, or other malicious code
• Reverse Engineering: Attempting to reverse engineer, decompile, or disassemble any part of the Service
• Intellectual Property Infringement: Violating copyrights, trademarks, or other intellectual property rights
• Unauthorized Access: Attempting to gain unauthorized access to the Service or other users' accounts
• Service Reselling: Reselling or redistributing the Service without our express written permission

Violations of this Acceptable Use Policy may result in suspension or termination of your account.

5. Paid Accounts

5.1 Subscription Fees

Certain features of the Service require payment of subscription fees. Subscription fees are charged in advance on a monthly or annual basis, depending on your selected plan.

5.2 Auto-Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You are responsible for canceling your subscription if you do not wish to continue.

6. Account Suspension and Termination

6.1 Your Right to Terminate

You may cancel your account at any time through your account settings. If you have a paid subscription, cancellation will take effect at the end of your current billing period.

6.2 Our Right to Terminate

We may suspend or terminate your account at our sole discretion, with or without notice, for:

• Violations of these Terms
• Fraudulent activity
• Non-payment of fees

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HAPPYCAPY SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SERVICE.
